Membership

Annual Membership entitles members to discounts at our events among other standard club affiliation benefits. Members are required to accept our club rules (see below).

WELLINGTON BOARDRIDERS CLUB (INC) RULES

1. NAME

The name of the Society is Wellington Boardriders Club Incorporated (the “Society”).

2. OBJECTIVES

Unite: To unite the Wellington surfing community and offer a focus for the sport.

Develop: To develop the sport in the Wellington region.

Affiliate: To have an affiliation with Surfing New Zealand Incorporated.

Represent: To represent the surfing community of the Wellington region in relation to the environmental issues around our coastline.

3. COMMITTEE

(a)          The affairs and business of the Society shall be controlled and managed by a committee of not less than five (5) members (the “Committee”).

(b)          At the first meeting of the Society. and at every Annual General Meeting held thereafter, the Society shall elect a Committee of the following Officers:

  • President
  • Secretary
  • Treasurer
  • Minimum five (5) Committee Members

(c)          The officers so elected shall assume office at the conclusion of the meeting in which the election is held.

(d)          In the event of a Committee not being elected in the manner hereinbefore provided a Committee shall be elected at a subsequent General Meeting and the former Committee shall be vested with all the necessary power to act until a new Committee is so elected.

(e)          A quorum of the Committee shall be three (3) members.  Any absent Committee member may vote on any particular issue by way of written proxy, but a quorum may not be made up by way of proxy.  Each Committee member shall have one vote and the President shall have the casting vote in any case where votes are equal.

4. MEMBERSHIP

(a)          The membership of the Society may be open to applications by any person from time to time.  Acceptance for membership shall be decided by members.  Such applications must be nominated and seconded by members.

(b)          A role of members’ names, residential addresses and the date which they became a member will be kept by the Committee and shall at all times be available for members’ perusal.

5. MEMBERSHIP FEES

(a)          All affiliated clubs shall pay a $50.00 annual membership fee.

(b)          Individual members shall pay the following annual membership fees:

(i)            Adults – $30.00

(ii)           Youth (under 18 years of age as at 1 Jan in each membership year) – $20.00

(iii)          Family (2 Adults & 2 Youths) – $60.00

(c)          Subject to any specific or general resolution of any General Meeting of the Society the amount of the annual membership fee shall be that from time to time fixed by the Committee.

(d)          Annual membership fees shall be due on 1 August each year.

(e)          Any annual membership fee which remains unpaid after 1 July each year shall be deemed to be in arrears.

(f)           No member in arrears shall be entitled to attend or vote at any general meeting until the relevant arrears are paid.

(g)          Every member shall. in addition to all other monies payable by him/her, forthwith pay to the Society all sums of money for further subscriptions or levies which may at any time and from time to time by resolution at a General Meeting be levied upon him/her as a member of the Society, and which the Society may consider necessary or expedient for the purposes of furthering the interests of the Society and its members.

6. RESIGNATION

(a)          Any member may resign by giving notice in writing to the Secretary to that effect.  Resignation shall not release a member from liability for payment of any annual membership fees or any other amount owing to the Society.

(b)          Any member may be expelled by resolution of the Society in General Meeting for:

(i)            Non-payment of subscription.

(ii)           Failure to observe any role or by-law of the Society.

(iii)          Any member guilty of misconduct wherever it may happen deemed to be prejudicial to the interest of the Society may have his membership terminated or suspended as decided by the Committee.  Any such case must be heard at a special meeting called by the Committee to determine the case.  Seven clear days notice in writing of any such Committee meeting shall be given to any member whose expulsion is under consideration and he/she shall be entitled to offer his/her explanation orally or in writing at such a meeting.  Notice shall be deemed to be properly given in accordance with this rule if it is posted to the member at his/her address on the roll of members.

7. ALTERATION OF RULES

(a)          These roles may be altered. added to, rescinded or otherwise amended at any Annual General Meeting or Special Meeting called for that purpose, and all the provisions relating to such meetings shall apply.

(b)          A copy of the rules and bylaws of the Society and all amendments shall be kept by the Society and shall at all times be available for members’ perusal.

(c)          The Annual General Meeting shall be held sat such times and places as the committee shall determine.

(d)          No addition to or recession of the rules shall be approved if it affects the non profit objectives or the winding up clause.

8. SPECIAL GENERAL MEETING

The Secretary, or in his/her absence or inability, any other member of the committee may at any time, for any special purpose call a Special General Meeting and he/she shall do so forthwith upon the requisition. in writing, of any ten (10) members stating the purpose fur which the meeting is required.

9. NOTICE OF MEETINGS

Notice of all Annual, Special and General Meetings of the Society shall be given by the Society placing on the club notice board at least fourteen (14) clear days before the day on which the meeting is to be held. The notice shall set forth generally the nature of the advertisement to be submitted to such meeting.

10. PROCEDURE AT MEETINGS

The President, or in his absence the Secretary, or in the absence of both a member elected by the meeting from amongst the members shall be the chairmen of all the meetings of the Society.

At all meetings ten (10) members together with five (5) Committee members shall constitute a quorum.

Voting at meetings of the Society shall be on voice or by show of hands as the President shall decide, except where a ballot is called for by any member present a ballot shall be held at that meeting.

Except where otherwise provided for in these rules and in the Incorporated Societies Act J 908 all questions shall be decided by a clear majority of those present at voting.

11. VACANCIES IN THE COMMITTEE

(a)          The Committee shall have power to appoint a member to fill any casual vacancy on the Committee until the next Annual General Meeting. Any member so appointed shall retire at the next Annual General Meeting but shall be eligible for re-election.

(b)          The Committee shall have power to co-opt any member of the Society to assist the Committee in carrying out any of its functions.

12. DUTIES OF THE COMMITTEE

(a)          It shall be the duty of the Committee generally to conduct the affairs of the Society, to keep usual and proper books of account properly post up, and other records of the business of the Society, and to notify members of intended meeting and the business to be transacted and to prepare and submit to the Annual General Meeting a report balance sheet and statement of accounts for the preceding year.

(b)          Meetings of the Committee may be convened by telephone advice or by circular letter of such times and places as the President or in the case of his absence, inability or refusal to act , the Secretary may appoint.

13. COMMON SEAL

The Common Seal of the Society shall be that appointed by the Committee who shall be responsible for its safe custody and control.

14. CONTROL AND USE OF FUNDS

All monies received by or on behalf of the Society forthwith to be paid to the credit of the Society into a bank account from time to time fixed by the Society and all cheques signed by any two of the President, Secretary, Treasurer or two committee members as appointed.

15. POWERS OF THE COMMITTEE

(a)          The Society may from time to time invest and reinvest such securities and upon such terms as it thinks fit the whole or part of its funds that may not be required for the immediate business of the Society.

(b)          The Society shall in addition to the other powers vested in it, have a power to borrow or raise money from time to time by the issue of debentures. bonds, mortgages or any other security founded or based on all or any of the property or rights of the Society or without any such security an upon such terms as to priority or otherwise as the Society thinks fit but the powers of so borrowing or raising money shall not be except pursuant to resolution of the Society passed at a General Meeting.

(c)          The Society may from time to time purchase, lease or acquire for the Society any real or personal property or any rights or privileges at such considerations or price and generally on such terms and conditions as it thinks fit.

16. DISPOSITION OF SURPLUS ASSETS

In the event of the Society being wound up the surplus assets, after payment of the Society’s liabilities and the expenses of winding up, shall be given or transferred to some other organisation or body having objects similar to the objects of the Wellington Boardriders Club, or some other charitable organization or purpose within New Zealand.

17. REGULATIONS

The Society may from time to time by resolution in General Meeting make, amend or rescind regulations not inconsistent with these rules covering procedure at its meetings and publications (if any) or reports thereon and in business of the Society

18. REGISTERED OFFICE

The registered office of the Society shall be situated at 12 Seatoun Heights Road, Wellington.
